GENERAL TERMS AND CONDITIONS OF SALES

1. OBJECT
The following terms and conditions of sale detail the rights and obligations of JLFD PRODUCTION and its customers in connection with the sale of the following products: horse vans and trucks, and van trailers. The list of products and services mentioned above may change without notice. Any service provided by JLFD PRODUCTION therefore implies the buyer's unreserved acceptance of these terms and conditions of sale.

2. ORDERS
All orders are firm and cannot be cancelled for any reason whatsoever by the buyer alone. Orders will only become firm and final upon written confirmation and after payment of a deposit of at least 35% as stipulated in said confirmation. An order is only considered accepted by the company once it has acknowledged receipt. The buyer is responsible for providing proof that they have indicated in writing to the Distributor the final destination of the purchased products.

3. RIGHT TO RETRACT
Pursuant to Articles L224-59 and L224-62 of the French Consumer Code, consumers do not have a right of withdrawal for purchases made at a trade fair or exhibition. However, if the purchase is financed by a specific-purpose loan, the buyer has a right of withdrawal for the loan used to finance the purchase. The sales contract is automatically terminated without compensation if the borrower exercises their right of withdrawal for the specific-purpose loan within 14 days, under the conditions stipulated in Article L312-52. In the event of termination of the sales contract following the exercise of the right of withdrawal for the specific-purpose loan, the seller must, upon request, reimburse any sums the buyer may have paid in advance.

4. PRICE
The prices of goods sold are those in effect on the date the order is placed. They are quoted in euros and are exclusive of tax. Consequently, they will be increased by the applicable VAT rate and shipping costs on the date of the order. JLFD PRODUCTION reserves the right to modify its prices at any time. However, it undertakes to invoice the goods ordered at the prices indicated when the firm order was registered. No discount will be granted for early payment.

5. PAYMENT TERMS
Orders are payable in Euros: by check, credit card, cash, or bank transfer. Upon placing the order, the buyer must pay a minimum deposit of 35% of the total invoice amount. Unless otherwise agreed in writing, the balance must be paid before the goods leave the factory.

6. LATE PAYMENT
In the specific case of a payment period granted, in the event of total or partial non-payment for delivered goods, the buyer must pay JLFD PRODUCTION a late payment penalty calculated at the ECB rate plus 10 points and a fixed compensation of €40 per invoice for recovery costs (Article L 441-6 1 paragraph 12 and D. 441-5 of the French Commercial Code) from the first day of delay. Penalty clause: In the event of a formal notice of default, compensation of 20% of the outstanding amount, with a minimum fixed penalty of €300, will be due. This penalty is calculated on the total amount due, including VAT, and accrues from the payment due date without any prior formal notice being required. In addition to late payment penalties, any sum, including the deposit, not paid by its due date will automatically incur a fixed penalty of 40 Euros for recovery costs.

7. RETENTION OF TITLE CLAUSE
JLFD PRODUCTION retains ownership of the goods sold until full payment of the price, including principal and any additional charges. In the event of non-payment of any installment, after simply notifying the buyer, JLFD PRODUCTION may demand the return of these goods at the buyer's expense. Notwithstanding this retention of title clause, all risks associated with the goods sold are borne by the buyer upon acceptance of said goods upon delivery. The buyer is obligated to inform any third party, should they become subject to receivership or liquidation proceedings, that the goods subject to the retention of title clause belong to JLFD PRODUCTION. JLFD PRODUCTION reserves the right to reclaim, within the framework of the insolvency proceedings, the goods sold and remaining unpaid.

8. DELIVERY
Delivery is made either by direct handover of the goods to the buyer, by sending a notification of availability in store to the buyer, or to the address indicated by the buyer on the order form. The delivery period begins upon receipt of the written order and the 35% deposit, and must be confirmed by JLFD PRODUCTION. The delivery time indicated when the order is placed is for informational purposes only and is not guaranteed. Consequently, any reasonable delay in the delivery of the products will not entitle the buyer to any compensation, damages, or cancellation of the order. Unless otherwise specified, the risk of transport is borne entirely by the buyer. In the event of missing or damaged goods during transport, the buyer must make all necessary reservations on the delivery note upon receipt of said goods. These reservations must also be confirmed in writing within five days of delivery, by registered mail with return receipt requested. JLFD PRODUCTION shall not be held liable for any failure to perform or delay in performing any of its obligations under these terms and conditions of sale if such failure or delay is due to force majeure. For the purposes of this clause, force majeure shall mean any external, unforeseeable, and irresistible event as defined in Article 1148 of the French Civil Code.

9. RECOVERY
The price of the van will be confirmed upon its receipt at JLFD PRODUCTION, depending on its condition. JLFD PRODUCTION reserves the right to adjust the price of the van 30 days after receipt to protect itself against repairs due to defects not disclosed by the customer at the time of ordering.

10. DISPUTE
In the event of a dispute, the parties agree to exercise their right to mediation under Articles R616-1 and L616-1 of the French Consumer Code. At the sole request of either party, they will engage a professional mediator: Pascale POULLIN, Peyroudal Sud, 1935 chemin des Jaures, 24100 Bergerac, France – Telephone: +33 6 87 56 99 00 – Email: pascale.poullin.rhetm@orange.fr. They will share the mediator's intervention costs equally and commit to at least one individual interview and one meeting with the mediator in order to seek, with their regulatory assistance, the most appropriate solution. Any dispute relating to the interpretation and performance of these Terms and Conditions shall be governed by French law: failing an amicable settlement, the dispute shall be brought before the Commercial Court of Bergerac.
